Terms of Service

Early Access & Exploration

Effective Date: March 21, 2026

1. Introduction & Definitions

Vleyr Technologies, Inc. (“Vleyr”, “we” or “us”) provides a proprietary technology intermediary platform (the “Vleyr Platform”) designed for location-based urban utility and symmetric collaboration.

  • “User”: Any individual accessing, browsing, or signing up for Early Access features.
  • Scope: The Platform is engineered to support various experimental urban utility modules. These features are provided for interface exploration and developmental feedback only.
  • No Guarantee of Service: Vleyr makes no representation that any feature or service module demonstrated will be made available in any future commercial release.

2. The “Pure Sandbox” (Strictly Non-Operational)

Important Notice

The Platform is currently in an Early Access Phase. All features, workflows, and modules are experimental.

  • Prohibition of Real-World Use: Users expressly agree not to use the Platform for any real-world tasks, vehicle moves, or parking coordination. Any such use is strictly prohibited and constitutes a material breach of this Agreement.
  • Termination Rights: Vleyr reserves the right to immediately terminate or suspend access for any User attempting to utilize the Platform for real-world operational purposes during this phase.
  • Non-Reliance: Third-party integrations (e.g., background checks, insurance) are in a “Sandbox” state. No reliance should be placed on these for property protection, legal compliance, or emergency response.

3. Patent-Pending Technology & IP

The Platform, including its unique “Symmetric Identity” logic and automated workflows, is protected by U.S. Patent App. No. 19/572,241 (Patent Pending).

  • Restrictions: Users may not reverse-engineer, reproduce, commercialize, or distribute any part of the Platform logic or proprietary sequences.
  • Feedback & Moral Rights: Users assign all rights to any feedback or bug reports provided to Vleyr and waive all moral rights, allowing Vleyr to use such ideas without credit or compensation.

4. Data Usage & Safety Modeling

  • Consent to Usage: By participating, you explicitly consent to the use of your data (profiles, telemetry, and usage patterns) for testing, debugging, system improvement, and the development of safety and predictive models.
  • Ephemerality: Vleyr reserves the right to purge all User data at any time. The Platform is not a permanent repository for critical data.

5. Simulated Payments & Placeholders

  • Inactive Transactions: No financial transactions are processed during Early Access. No financial claims or refunds shall arise from any activity on the platform.
  • Pricing Disclaimers: Any pricing or payout amounts displayed in the app interface are strictly illustrative placeholders for testing and do not constitute a commercial offer or a contract.

6. Termination of Access

Vleyr reserves the right, in its sole discretion and without notice, to terminate or suspend your access to the Platform for any reason, including but not limited to a breach of these Terms or the conclusion of the Early Access Phase.

7. Limitation of Liability

The Platform is provided “AS IS” and “WITH ALL FAULTS.” Vleyr disclaims all warranties, express or implied.

Since this is an experimental phase provided at no cost, Vleyr's total financial responsibility to any User for any reason is strictly limited. In no event will Vleyr's total liability exceed the greater of: (a) $100.00, or (b) the actual amount paid by the User to Vleyr (which is currently $0.00).

8. Arbitration & Class Action Waiver

  • Binding Arbitration: This Agreement is governed by New York law. Any dispute shall be determined by Binding Arbitration in New York, NY, under AAA rules.
  • Class Action Waiver: Users agree to resolve disputes on an individual basis and expressly waive the right to participate in any class, collective, or representative proceeding.
  • Survival: This Section 8 shall survive the termination of this Agreement.

9. Communications

You consent to receive push notifications, SMS, and emails for development and feedback purposes. You acknowledge these are essential to the Early Access experience.

10. Release and Waiver of Liability

  • Voluntary Participation: You acknowledge that your participation is voluntary. Any attempt to use the Platform for real-world tasks during this phase is done at your own risk.
  • Comprehensive Release: You hereby release and forever discharge Vleyr Technologies, Inc. and its officers from any and all claims (including property damage, fines, or fees) arising out of your use of the Platform during Early Access.

11. Supplemental Testing Sessions

Vleyr may offer optional private testing sessions or guided walkthroughs. Such sessions are subject to additional acknowledgments or terms presented at the time of participation.
