VLEYR TECHNOLOGIES, INC.

Vehicle Monitoring Rules

Effective Date:

1. MONITORING ONLY

The current Pilot vehicle-monitoring service is limited to monitoring and car-sitting activities expressly described in the accepted request and applicable service requirements.

The Provider's presence in, near, or with the vehicle does not give the Provider general possession, control, or authority over the vehicle beyond what is reasonably necessary to perform the accepted monitoring service.

Vehicle monitoring does not authorize the Provider to drive, relocate, reposition, transport, or otherwise move the vehicle.

The Provider must always remain within the scope of the accepted monitoring service. Customer permission, instruction, or consent does not, by itself, expand the scope of the Vleyr service or authorize an activity prohibited by these Rules.

2. MONITORING RESPONSIBILITIES

During the accepted monitoring period, the Provider must remain reasonably available and, in the location, required by the applicable service requirements to monitor the vehicle.

The Provider must follow applicable check-in, status-update, documentation, verification, and completion procedures established by Vleyr for the service.

The Provider must not leave the vehicle unattended or leave the applicable monitoring area in a manner inconsistent with the accepted request or applicable service requirements.

The Provider must remain assigned to the service for the accepted monitoring period unless:

  • The service is properly completed;
  • The service is modified or canceled through an applicable Vleyr process;
  • The Provider is permitted to end the service under the applicable service requirements;
  • An emergency or material safety concern reasonably requires the Provider to leave; or
  • Another circumstance recognized by applicable Vleyr requirements permits the Provider to pause or discontinue the service.

If the Provider must unexpectedly leave, pause, or discontinue a service before completion, the Provider should notify Vleyr as soon as reasonably practicable and follow the applicable service or incident-reporting process.

3. NO VEHICLE MOVEMENT

During the current vehicle-monitoring Pilot, the Provider must not operate, drive, move, relocate, reposition, or transport the Customer's vehicle.

The Provider must not:

  • Place the vehicle in gear;
  • Release a parking brake for the purpose of moving the vehicle;
  • Start or activate the vehicle for the purpose of moving it;
  • Steer, push, tow, roll, or otherwise cause the vehicle to change position;
  • Move the vehicle to another parking space or location;
  • Move the vehicle for street cleaning or Alternate Side Parking;
  • Move the vehicle in response to parking enforcement, traffic conditions, construction, an obstruction, convenience, or Customer preference;
  • Use remote, automated, assisted-driving, parking, summon, or similar functionality to move or reposition the vehicle; or
  • Permit, direct, or assist another person to operate or move the vehicle.

A Customer's permission, instruction, request, or prior relationship with the Provider does not authorize vehicle movement during the current monitoring Pilot.

If circumstances appear to require vehicle movement, the Provider must not move the vehicle and should instead follow the applicable Vleyr process or, in an emergency, take reasonable steps consistent with applicable safety requirements and law.

4. NO PERSONAL USE

The Customer's vehicle and any access provided in connection with the service may be used only as reasonably necessary to perform the accepted monitoring service.

The vehicle may not be used for:

  • Personal transportation;
  • Errands;
  • Testing or demonstration;
  • Recreation;
  • Sleeping or remaining in the vehicle outside the accepted service period;
  • Storage unrelated to the service;
  • Charging personal equipment except as expressly permitted;
  • Allowing unauthorized persons to enter or use the vehicle; or
  • Any other personal, commercial, or unrelated purpose.

The Provider must not use Customer-paid vehicle services, subscriptions, toll accounts, charging accounts, stored payment methods, or other vehicle-connected services for personal or unrelated purposes.

5. NO UNAUTHORIZED THIRD-PARTY ACCESS

The Provider must not permit an unauthorized person to enter, access, operate, move, use, or assume responsibility for the Customer's vehicle during the accepted service.

The Provider must not transfer possession or control of the vehicle, keys, key fobs, access credentials, or other access methods to another person except as expressly authorized through an applicable Vleyr process.

The Provider must not transfer, delegate, or hand off responsibility for an accepted monitoring service to another person except through an applicable Vleyr process.

If an unauthorized person attempts to enter, access, operate, or interfere with the vehicle, the Provider should prioritize personal safety, avoid unnecessary confrontation, and follow applicable Vleyr safety and incident-reporting procedures.

6. ACCESS LIMITS AND CUSTOMER PROPERTY

Access to the vehicle and Customer property must remain limited to what is reasonably necessary and authorized for the accepted monitoring service.

Unless expressly authorized and reasonably necessary for the service, the Provider must not:

  • Open or search the glove compartment, center console, trunk, cargo area, storage compartments, bags, containers, or other personal storage areas;
  • Remove, use, consume, borrow, conceal, relocate, intentionally damage, or dispose of Customer property;
  • Access a Customer's phone, electronic device, account, application, messages, contacts, documents, or personal information;
  • Access or modify stored addresses, navigation history, contacts, profiles, passwords, payment information, or other vehicle-stored personal information;
  • Connect a personal device to the vehicle's infotainment or communications system unless reasonably necessary and expressly permitted for the service;
  • Photograph, record, copy, or disclose Customer property or personal information except as reasonably necessary for an authorized service, condition record, or incident report; or
  • Alter vehicle settings unrelated to the accepted service.

The presence of property or information in the vehicle does not constitute permission to access or use it.

7. KEYS AND ACCESS CREDENTIALS

Vehicle keys, key fobs, access cards, access codes, digital keys, mobile credentials, and other vehicle access methods must be used only as authorized for the accepted service and must be handled with heightened care.

The Provider must take reasonable measures to protect access items against loss, theft, damage, unauthorized use, copying, disclosure, accidental transfer, or unintended retention.

The Provider must not copy, duplicate, photograph, record, share, transfer, retain, or provide another person with an access method except as expressly authorized through an applicable Vleyr process.

Upon completion, cancellation, or termination of the service, access items must be returned, secured, or otherwise handled in accordance with the applicable service requirements.

A lost, stolen, damaged, compromised, or unintentionally retained key or access credential must be reported to Vleyr promptly after discovery in accordance with the applicable reporting procedure.

No key box or similar access arrangement is part of the current Pilot unless Vleyr expressly activates and authorizes that functionality.

8. LIMITED VEHICLE FUNCTIONS

A Provider may use a vehicle function only when the function is expressly permitted by the applicable service requirements or authorized through the Platform and its use is reasonably related to the monitoring service.

Permitted functions may include, when authorized, reasonable use of climate controls, interior lighting, window controls, door locks, or similar stationary vehicle functions.

Authorization to use a vehicle function does not authorize the Provider to:

  • Place the vehicle in gear;
  • Move or operate the vehicle;
  • Use remote or automated vehicle-movement functionality;
  • Modify material vehicle settings;
  • Pair or permanently connect a personal account or device;
  • Purchase products or services through the vehicle;
  • Access unrelated vehicle data or Customer information; or
  • Activate a function for a purpose unrelated to the monitoring service.

If use of a vehicle function could reasonably cause vehicle movement or create a material safety risk, the Provider should not use that function unless expressly permitted under applicable service requirements.

9. VEHICLE CONDITION AND DAMAGE REPORTING

Customers should communicate material pre-existing vehicle conditions, damage, defects, warning conditions, or other issues that may reasonably affect the monitoring service.

Where required by the applicable service requirements, the Provider must complete requested pre-service or post-service photographs, condition documentation, or other verification procedures.

A Provider must promptly report newly observed material damage, suspected unauthorized access, evidence of attempted theft, material vehicle-condition changes, or other significant vehicle concerns identified during the service.

The Provider should not admit fault, promise reimbursement, negotiate a settlement, or make representations concerning insurance coverage on behalf of Vleyr.

The Provider must not attempt to repair, alter, disable, modify, conceal, or correct vehicle damage or a vehicle condition unless separately authorized and legally permitted.

Reporting or documenting damage does not, by itself, establish when the damage occurred or who is responsible.

10. ALTERNATE SIDE PARKING AND MONITORING PERIOD

When a monitoring service relates to Alternate Side Parking or another parking restriction, the Provider must monitor the vehicle for the period stated in the accepted request and in accordance with applicable service requirements.

The passage of a street-cleaning vehicle, parking-enforcement vehicle, or other municipal vehicle does not, by itself, authorize the Provider to end the accepted monitoring period early.

The Provider must not independently determine that an applicable parking restriction has ended or that the vehicle may be left unattended unless permitted by the applicable service requirements.

A Provider may end the monitoring period early only when permitted by the applicable service requirements or when the service is properly completed, modified, canceled, paused, or discontinued through an applicable Vleyr process.

Nothing in these Rules authorizes a Provider to move the vehicle in response to street cleaning, parking enforcement, traffic conditions, construction, an obstruction, or another circumstance.

Vleyr does not authorize a Provider to interfere with, obstruct, argue with, or attempt to direct municipal personnel performing street-cleaning, parking-enforcement, traffic, emergency, or other official duties.

11. CUSTOMER INSTRUCTIONS

Customer instructions must remain within the scope of the accepted service and applicable Vleyr requirements.

A Provider must not follow a Customer instruction that would require the Provider to:

  • Move, operate, relocate, or reposition the vehicle;
  • Perform an unsafe or unlawful activity;
  • Permit unauthorized access to the vehicle;
  • Perform an activity prohibited by these Rules or another applicable Vleyr requirement; or
  • Materially expand or change the accepted service without appropriate authorization.

A Customer's permission, instruction, request, or consent does not, by itself, authorize conduct prohibited by these Rules or expand the Provider's authority under the accepted service.

If a Customer requests an activity outside the accepted service scope, the Provider should decline the request and, when appropriate, direct the Customer to use the applicable Vleyr process.

12. MATERIAL CHANGES TO THE SERVICE

A Provider must perform only the service reflected in the accepted request and applicable service requirements.

If circumstances or Customer instructions materially change the nature, location, timing, access requirements, responsibilities, or scope of the accepted service, the Provider must not assume that the original acceptance authorizes the changed activity.

A material change may include, as applicable:

  • A request to move or operate the vehicle;
  • A change in the vehicle being monitored;
  • A significant change in service location;
  • A request to transfer the service to another person;
  • A request for an activity not included in the accepted service;
  • A material change affecting safe performance of the service; or
  • Another change that materially alters what the Provider originally agreed to perform.

The Provider should obtain appropriate confirmation through the applicable Platform or Vleyr process before performing an authorized material change.

Routine adjustments expressly permitted under the applicable service requirements do not require separate confirmation for each occurrence.

Nothing in this Section permits vehicle movement during the current monitoring Pilot.

13. PARKING ENFORCEMENT, STREET CLEANING, AND GOVERNMENT PERSONNEL

Providers must act lawfully and professionally when interacting with law-enforcement officers, parking-enforcement personnel, sanitation personnel, street-cleaning personnel, traffic personnel, emergency responders, tow operators acting under lawful authority, or other authorized officials.

A Provider must not:

  • Obstruct or interfere with official duties;
  • Interfere with street-cleaning operations;
  • Argue with, threaten, intimidate, or unnecessarily confront an official;
  • Provide knowingly false or misleading information;
  • Represent that the Provider has authority the Provider does not possess;
  • Impersonate or imply affiliation with a government agency;
  • Attempt to prevent lawful issuance of a citation, summons, warning, tow order, or other official action through improper means; or
  • Move the Customer's vehicle in response to an official instruction unless vehicle movement is separately authorized under an applicable Vleyr service.

If an official directs that the vehicle must be moved and the Provider is not authorized to move it, the Provider should explain, when reasonably appropriate, that the Provider is not authorized to operate the vehicle and should promptly follow the applicable Vleyr reporting or escalation process.

Nothing in these Rules authorizes a Provider to resist, obstruct, or interfere with lawful government action.

14. CITATIONS, TOWING, AND OTHER OFFICIAL ACTION

If a parking citation, summons, warning, tow notice, immobilization action, or other official action involving the Customer's vehicle occurs or is threatened during an accepted service, the Provider should promptly notify Vleyr through the applicable process.

When reasonably safe and permitted, the Provider should document relevant circumstances, which may include:

  • The nature of the action;
  • The date and time;
  • The vehicle's location;
  • Photographs;
  • Citation, summons, notice, or other identifying information; and
  • Other information reasonably relevant to the incident.

Unless expressly authorized or legally required, the Provider must not:

  • Admit liability on behalf of the Customer or Vleyr;
  • Promise that Vleyr will pay or reimburse a citation, towing charge, damage claim, or other expense;
  • Negotiate or settle a claim on behalf of Vleyr or the Customer;
  • Pay a citation or other charge using Customer property or funds; or
  • Make representations concerning insurance coverage, legal responsibility, or financial responsibility on behalf of Vleyr.

The Provider should not physically interfere with lawful towing, immobilization, enforcement, or other official action.

15. VEHICLE SECURITY

During the accepted service, the Provider must exercise reasonable care to protect the vehicle, keys, access credentials, and Customer property against unauthorized access.

The Provider must not:

  • Intentionally leave keys or access credentials accessible to an unauthorized person;
  • Disclose access codes, digital keys, vehicle location information, or other security information to an unauthorized person;
  • Intentionally leave the vehicle unlocked or unsecured contrary to the applicable service requirements;
  • Permit an unauthorized person to enter or access the vehicle; or
  • Disable or interfere with vehicle security systems except when expressly authorized and reasonably necessary for the accepted service.

If the Provider becomes aware of attempted theft, unauthorized entry, suspicious access, a compromised key or credential, or another material security concern, the Provider should prioritize personal safety and follow the applicable Vleyr incident-reporting and escalation procedures.

A Provider is not required to physically confront, pursue, restrain, or detain a person to protect the vehicle or Customer property.

16. MECHANICAL PROBLEMS, WARNING INDICATORS, AND REPAIRS

A Provider is not responsible for diagnosing, repairing, servicing, or maintaining the Customer's vehicle as part of the monitoring service.

Unless separately authorized through an applicable Vleyr service, the Provider must not:

  • Attempt mechanical repairs;
  • Jump-start the vehicle;
  • Tow or push the vehicle;
  • Add or remove automotive fluids;
  • Disconnect or modify the battery;
  • Alter, disable, reset, or clear vehicle warning systems;
  • Modify vehicle components or settings; or
  • Attempt another maintenance or repair activity.

If the vehicle displays a material warning, experiences a mechanical problem, becomes disabled, or otherwise appears to require service, the Provider should report the condition through the applicable Vleyr process.

Nothing in this Section prevents reasonable action necessary to respond to an immediate emergency when permitted by law and consistent with applicable Vleyr safety requirements.

17. COLLISION, DAMAGE, OR VEHICLE CONTACT

If the Customer's vehicle is struck, damaged, contacted by another vehicle or object, or otherwise involved in an incident during the monitoring service, the Provider should prioritize personal safety and follow the applicable Vleyr incident-reporting and escalation procedures.

When reasonably safe and appropriate, the Provider should preserve relevant information, which may include:

  • Photographs of the vehicle and surrounding area;
  • Photographs of newly observed damage;
  • Date, time, and location;
  • Information concerning another involved vehicle;
  • Information voluntarily provided by involved persons or witnesses;
  • Police, incident, or report information when available; and
  • Other information reasonably relevant to the incident.

The Provider must not:

  • Admit fault or liability on behalf of Vleyr or the Customer;
  • Promise payment or reimbursement;
  • Negotiate or settle a damage claim;
  • Make representations concerning insurance coverage;
  • Attempt unauthorized repairs; or
  • Knowingly alter, conceal, fabricate, or destroy relevant evidence or information.

Documentation of an incident or vehicle condition does not, by itself, establish when damage occurred or who is responsible for it.

18. EMERGENCIES AND UNSAFE CONDITIONS

Safety takes priority over completion of a monitoring service.

A Provider is not required to remain in the vehicle, remain at the monitoring location, or take an action that would reasonably place the Provider or another person in danger.

A Provider may leave, pause, or discontinue a service when reasonably necessary because of:

  • Fire, smoke, or suspected fire;
  • Collision or serious vehicle damage;
  • Medical emergency;
  • Threats or violence;
  • Suspected criminal activity;
  • Attempted theft or unauthorized vehicle access;
  • Hazardous materials or dangerous environmental conditions;
  • Unsafe traffic conditions;
  • A material vehicle hazard; or
  • Another circumstance presenting an unreasonable safety risk.

When immediate emergency assistance is reasonably necessary, the Provider should contact 911 or the appropriate emergency authority before contacting Vleyr.

After immediate safety concerns have been addressed, the Provider should notify Vleyr through the applicable incident-reporting process as soon as reasonably practicable.

The Provider must not pursue, physically confront, restrain, or attempt to detain another person on behalf of Vleyr or the Customer.

A safety concern does not automatically authorize the Provider to move or operate the Customer's vehicle.

19. PROVIDER-CAUSED DAMAGE OR LOSS

A Provider must promptly report any known or suspected damage, loss, unauthorized access, or other material incident that the Provider believes may have resulted from the Provider's own actions or omissions during an accepted service.

The Provider must not conceal or attempt to conceal such an incident, alter relevant information, make unauthorized repairs, or provide knowingly false or misleading information concerning what occurred.

The Provider should preserve and provide reasonably requested information relating to the incident in accordance with applicable Vleyr requirements.

Responsibility for damage, loss, reimbursement, insurance coverage, or other costs will be determined based on the circumstances, applicable agreements, available information, applicable insurance coverage, and applicable law.

Nothing in these Rules constitutes a determination of fault, liability, or insurance coverage for a particular incident.

20. COMPLETION OF MONITORING SERVICE

At the conclusion of the accepted monitoring period, the Provider must complete the applicable Vleyr completion process.

Depending on the applicable service requirements, completion may require:

  • Confirming completion through the Platform;
  • Completing required photographs or documentation;
  • Reporting material incidents or vehicle-condition changes;
  • Returning or securing keys or access credentials;
  • Securing the vehicle as required; and
  • Completing other required service-verification steps.

A Provider must not knowingly mark a service as completed when required monitoring obligations have not been performed.

Completion of the monitoring period does not eliminate any continuing obligation to return Customer property, report a material incident, preserve relevant information, or comply with another requirement that continues after the service.

21. FUTURE VEHICLE SERVICES

Vehicle movement, transportation, delivery, relocation, pickup, parking, or other vehicle-related services may be offered separately in the future.

Any such service will be subject to separate applicable requirements, eligibility standards, disclosures, authorizations, insurance requirements, and other terms established by Vleyr.

Authorization to participate in the current vehicle-monitoring Pilot does not authorize participation in, or performance of, any future vehicle-movement service.

Nothing in these Rules authorizes vehicle movement during the current monitoring Pilot.

22. ENFORCEMENT

Violations of these Rules may result in cancellation of a service request or restriction, suspension, or termination of Pilot participation, subject to applicable agreements and law.

Vleyr may take action permitted under applicable agreements when reasonably necessary to address safety, security, fraud, misuse, unauthorized vehicle access or movement, Customer property concerns, failure to complete required reporting, or other material violations.

Serious violations may result in immediate restriction or suspension while the circumstances are reviewed, when permitted by applicable agreements and law.

Enforcement under these Rules does not limit other rights or remedies available under applicable agreements or law.

23. RELATIONSHIP TO OTHER VLEYR REQUIREMENTS

These Rules should be read together with the Vleyr Terms of Service, applicable Pilot agreements, Service Acceptance Acknowledgement, Pilot Safety Guidelines, Prohibited Conduct & Activities Policy, Lost & Found and Personal Property Procedure, Pilot Incident Reporting & Escalation Procedure, applicable service requirements, and other applicable Vleyr policies and agreements.

More specific requirements applicable to a particular service, incident, or circumstance may supplement these Rules.

Nothing in these Rules expands the scope of an accepted service or authorizes conduct prohibited by another applicable Vleyr requirement.

24. UPDATES

Vleyr may update these Rules as the Pilot develops, operational risks are identified, applicable requirements change, or the scope of available services changes, subject to applicable agreements and law.

Updated Rules will apply as provided through the applicable Vleyr process.
