VLEYR TECHNOLOGIES, INC.

Pilot Program Purpose

Effective Date:

1. PURPOSE

The Vleyr Pilot is a limited testing and development program designed to evaluate Vleyr's technology, marketplace coordination platform, services, operating processes, and Participant experience under real-world conditions.

The Pilot allows Vleyr to evaluate how Customers and independent Providers interact through the Platform, identify areas for improvement, assess operational and service requirements, evaluate marketplace activity, and develop the Platform and its services in preparation for potential broader availability.

The Pilot is intended to provide Vleyr with practical operational experience and information that may be used to improve the Platform, service design, safety processes, policies, Participant experience, and future operations.

2. CURRENT PILOT SERVICE

The current Pilot includes vehicle-monitoring and car-sitting services made available through the Vleyr Platform.

Through the current service, a Customer may request an independent Provider to remain with or monitor the Customer's parked vehicle for an accepted period in accordance with the applicable service requirements.

The current vehicle-monitoring Pilot does not authorize a Provider to drive, relocate, reposition, transport, or otherwise move the Customer's vehicle.

Customer permission, possession of a vehicle key or access credential, or acceptance of a monitoring request does not expand the Provider's authority beyond the applicable service scope.

The services available during the Pilot may be limited and may not represent the full range of services that Vleyr may make available in the future.

3. PILOT SCOPE

The Pilot may operate within limited geographic areas, with a limited number of Customers and Providers, during limited service periods, or subject to other operational limitations established by Vleyr.

Participation, service availability, request volume, Provider availability, service types, and Platform functionality may therefore be more limited during the Pilot than they may be during a broader commercial launch.

Vleyr may expand or reduce the geographic area, Participant population, service availability, operating periods, or other aspects of the Pilot as testing progresses.

Participation in the Pilot does not guarantee continued access to a particular geographic area, service, Provider, request volume, or Platform function.

4. PILOT DEVELOPMENT AND TRANSITION

The Pilot may develop or transition into an expanded testing environment, Alpha stage, broader rollout, commercial service, or another stage of Platform development.

Vleyr may expand, modify, combine, limit, suspend, or discontinue Pilot activities as the Platform, services, and operating model develop.

A transition between development stages does not necessarily require a specific date or separate designation.

Vleyr will communicate material changes affecting Participants when appropriate, including material changes to available services, participation requirements, pricing, payments, or other significant conditions.

5. SERVICES AND PLATFORM FUNCTIONALITY

As the Platform develops, Vleyr may test, introduce, modify, or discontinue services, features, workflows, account capabilities, Provider functions, Customer functions, or other Platform functionality.

Different services may have different:

  • Eligibility requirements;
  • Qualifications or verification requirements;
  • Permissions and service limitations;
  • Safety procedures;
  • Operating requirements;
  • Pricing;
  • Provider compensation;
  • Insurance requirements;
  • Access requirements; or
  • Other service-specific conditions.

Availability may vary based on location, timing, demand, Provider participation, eligibility, operational conditions, safety considerations, Platform functionality, or other applicable factors.

A reference to a future or contemplated service does not authorize a Customer to request, or a Provider to perform, that service unless Vleyr has expressly activated it.

6. PRICING, PAYMENTS, AND PROVIDER COMPENSATION

Services offered through the Pilot may be paid services.

Customers may be required to pay the applicable price for a requested service through the payment process made available by Vleyr.

Providers may receive compensation for services they voluntarily accept and successfully perform in accordance with applicable Provider terms.

Applicable pricing, fees, payment requirements, Provider compensation, cancellation terms, and other transaction information will be disclosed through the Platform or applicable terms as appropriate.

Vleyr may retain applicable disclosed platform, transaction, coordination, or other fees from amounts processed through the Platform.

Pricing, Provider compensation, payment methods, fees, promotions, refunds, and other payment-related processes may be tested or adjusted during the Pilot and may vary by service, location, operating model, or other applicable conditions.

7. PARTICIPANT ROLES

Customers participate by submitting and managing service requests, providing information and access reasonably necessary for the applicable service, and satisfying applicable Customer and service requirements.

Providers participate as independent Providers who voluntarily decide whether to accept available service requests and independently perform accepted services in accordance with applicable agreements, policies, and service requirements.

A user may participate in more than one capacity through a Vleyr account, subject to the eligibility and requirements applicable to each role and service.

Eligibility or participation in one role does not automatically establish eligibility or authorization for another role or service.

8. PILOT OBJECTIVES

The Pilot is intended to help Vleyr evaluate, test, and improve:

  • Platform functionality, usability, and reliability;
  • Customer experience and service-request workflows;
  • Provider experience, participation, and service performance;
  • Marketplace coordination and matching processes;
  • Service demand, request frequency, and utilization patterns;
  • Provider availability and marketplace capacity;
  • Service duration and operating requirements;
  • Safety procedures and risk-management processes;
  • Incident reporting, escalation, and response procedures;
  • Customer and Provider communication;
  • Service documentation and accountability;
  • Pricing and payment processes;
  • Provider compensation processes;
  • Cancellation and service-interruption processes;
  • Eligibility, verification, and onboarding processes;
  • Platform policies, disclosures, agreements, and supporting documentation;
  • Customer and Provider support processes; and
  • Requirements for future services, expanded testing, and broader Platform deployment.

9. FEEDBACK AND PILOT LEARNING

Vleyr may use information and feedback obtained through Pilot participation to evaluate and improve the Platform, services, policies, procedures, communications, and operating model.

Participants may be invited to provide feedback concerning their experience, including Platform usability, service requests, service performance, communications, pricing, safety, support, or other aspects of the Pilot.

Vleyr may also evaluate operational information generated through the Pilot, including request patterns, service activity, completion information, incident information, Platform performance, and other information collected in accordance with the Vleyr Privacy Policy.

Feedback or Pilot results may lead Vleyr to modify Platform functionality, service requirements, policies, procedures, pricing, Provider processes, or other aspects of the Pilot.

10. PILOT CHANGES AND EXPERIMENTATION

Because the Pilot is a testing and development program, Vleyr may evaluate different service configurations, workflows, communications, Platform features, pricing structures, operating procedures, eligibility requirements, or other Pilot processes.

Different Participants, locations, service types, or stages of the Pilot may experience different functionality or requirements where reasonably necessary for testing, operational, safety, legal, insurance, technical, or business purposes.

Vleyr may modify Pilot processes based on operating experience, Participant feedback, Platform performance, safety considerations, incident information, legal or insurance requirements, marketplace conditions, or other information learned during the Pilot.

Material changes affecting Participant obligations will be communicated when appropriate.

11. NO GUARANTEE OF CONTINUED AVAILABILITY

Participation in the Pilot does not guarantee that any particular service, feature, role, geographic area, pricing structure, payment process, Provider opportunity, request volume, or other Platform functionality will remain available.

Vleyr may modify, expand, limit, suspend, discontinue, or replace aspects of the Pilot as it evaluates results and develops the Platform, subject to applicable agreements and law.

12. NO GUARANTEE OF COMMERCIAL LAUNCH

Operation of the Pilot does not guarantee that Vleyr will commercially launch a particular service, expand into a particular geographic area, maintain a particular business or pricing model, or make any Pilot feature permanently available.

Decisions concerning broader deployment may depend on Pilot results, marketplace demand, operational feasibility, safety, legal and regulatory requirements, insurance considerations, technology performance, financial considerations, and other business factors.

13. PARTICIPANT NOTICE

Vleyr will provide notice of material Pilot changes when appropriate based on the nature of the change and the Participants affected.

Notice may be provided through the Platform, email, electronic communication, updated documentation, or another reasonable method.

Certain changes may require updated disclosures, acknowledgements, agreements, eligibility verification, or other acceptance before a Participant may continue using an applicable service or functionality.
