VLEYR TECHNOLOGIES, INC.

Pilot Lost & Found and Personal Property Procedure

Effective Date:

1. PURPOSE

This Procedure establishes a consistent process for handling personal property that is lost, misplaced, discovered, damaged, unintentionally retained, or reported missing in connection with a Vleyr Pilot service.

The purpose of this Procedure is to support reasonable care, timely reporting, preservation of relevant information, appropriate return of personal property, and consistent handling of disputed or unresolved property concerns.

This Procedure also establishes requirements concerning discovered property, keys and access items, reporting obligations, return arrangements, disputed claims, property requiring special handling, and escalation of material property incidents.

Nothing in this Procedure expands the scope of an accepted service or authorizes a Participant to access, search, use, remove, retain, transport, or otherwise handle property beyond what is permitted by the applicable service, Vleyr requirements, or law.

2. CUSTOMER PERSONAL PROPERTY

Customers are responsible for removing cash, jewelry, electronics, important documents, medications, valuables, and other unnecessary personal property from a vehicle, location, or other property before a Pilot service begins when reasonably practicable.

Customers should identify any personal property intentionally left in a vehicle or service location when the item's presence, location, condition, value, sensitivity, or handling requirements are reasonably relevant to the requested service.

The presence of personal property in a vehicle or at a service location does not, by itself, authorize a Provider to inspect, search, open, use, remove, photograph, access, relocate, or otherwise interfere with that property.

A Provider may interact with personal property only when reasonably necessary and authorized for the accepted service or otherwise permitted by applicable Vleyr requirements.

Vleyr does not provide storage, safekeeping, inventory, or security services for personal property merely because the property is located in or around a vehicle or location involved in a Pilot service.

3. PROVIDER PERSONAL PROPERTY

Providers remain responsible for their own personal property brought to, carried during, or used in connection with a Pilot service.

Providers should take reasonable care to keep their personal property separate from Customer property, keys, access items, and other items involved in the service.

Providers should remove their personal property when the service is completed and should not intentionally leave personal property in a Customer's vehicle or at a Customer's property except when reasonably necessary for the accepted service.

If a Provider later discovers that personal property was accidentally left behind, the Provider should promptly notify Vleyr when assistance is reasonably necessary to coordinate its recovery.

The presence of Provider property at a Customer's vehicle or service location does not, by itself, make the Customer or Vleyr responsible for loss, damage, or recovery of that property.

4. ITEMS DISCOVERED DURING A SERVICE

If a Participant discovers an item that appears to belong to another Participant, the Participant must not use, consume, conceal, sell, transfer, intentionally damage, discard, or retain the item for personal or unrelated purposes.

When reasonably practicable, the Participant should:

  • ● Leave the item where it was discovered if doing so is safe and reasonably likely to preserve the item;
  • ● Avoid unnecessarily handling, opening, searching, examining, or moving the item;
  • ● Promptly notify Vleyr when the item is material, valuable, sensitive, or reasonably requires assistance with return;
  • ● Notify the affected Participant when appropriate;
  • ● Provide a general description of the item and the location where it was discovered; and
  • ● Cooperate with reasonable arrangements for securing or returning the item.

A Participant should not remove discovered property from a Customer's vehicle or service location unless removal is reasonably necessary to protect the item, address a safety or legal concern, complete an authorized return, or comply with an applicable Vleyr instruction or service requirement.

A Participant should not open a bag, container, compartment, package, wallet, electronic device, or other item merely for the purpose of identifying its owner unless doing so is reasonably necessary, permitted, and does not create a safety, privacy, or legal concern.

5. KEYS, KEY FOBS, AND ACCESS ITEMS

Keys, key fobs, access cards, access codes, credentials, and similar access items provided or used in connection with a Pilot service must be handled with heightened care.

Participants must not copy, duplicate, share, transfer, retain, use, disclose, or provide another person with a key, key fob, access card, access code, credential, or similar access item except as authorized for the applicable service.

Providers must take reasonable measures to keep Customer keys and access items separate from their own personal property and protected against loss, theft, unauthorized use, accidental transfer, or unintended retention.

Participants should take reasonable care when receiving, possessing, handling, storing, and returning keys or access items during a Pilot service.

If a Participant discovers that another Participant's key, key fob, access card, credential, or other access item has been mistakenly retained or mixed with personal belongings, the Participant must:

  • ● Stop any unauthorized use of the item;
  • ● Promptly notify Vleyr;
  • ● Notify the affected Participant when appropriate; and
  • ● Cooperate with reasonable arrangements to secure and return the item.

A lost, missing, damaged, stolen, or unintentionally retained Customer key, key fob, access card, or other material access item must be reported to Vleyr promptly after discovery.

No key box or similar access device will be used during the Pilot unless Vleyr expressly activates and authorizes that functionality.

6. LOST OR MISSING ITEMS

A Participant who believes an item has been lost or is missing in connection with a Pilot service should promptly notify Vleyr when the matter is material or when Vleyr's assistance is reasonably necessary to locate, document, evaluate, or return the item.

A Participant must promptly report the matter when it involves:

  • ● A key, key fob, access credential, or other material access item;
  • ● Suspected theft or intentional misappropriation;
  • ● Significant or high-value property;
  • ● Sensitive personal, financial, medical, identity, or security information;
  • ● Suspected unauthorized access;
  • ● A safety or legal concern;
  • ● A dispute between Participants concerning possession or responsibility; or
  • ● Another material property concern requiring review or escalation.

A report should include reasonably available information concerning:

  • ● A description of the item;
  • ● When and where the item was last known to be present;
  • ● The circumstances in which the item may have been lost, misplaced, damaged, or removed;
  • ● Any relevant photographs, records, communications, or service information;
  • ● Whether the item contains or provides access to sensitive information or property; and
  • ● Any other information that may reasonably assist in locating or evaluating the item.

A report that an item is missing does not, by itself, establish that the item was lost during the Pilot service or that another Participant or Vleyr is responsible.

7. REPORTING AND PRESERVATION

Participants should promptly report material lost, missing, damaged, unintentionally retained, or discovered property concerns in accordance with this Procedure.

Participants should preserve reasonably available information that may assist in evaluating the circumstances, including:

  • ● Photographs or videos;
  • ● Participant communications;
  • ● Request and acceptance information;
  • ● Service timestamps;
  • ● Vehicle or property condition information;
  • ● Relevant access or return information;
  • ● Incident information; and
  • ● Other relevant Platform or service records.

Participants must not knowingly fabricate, alter, manipulate, destroy, conceal, delete, or materially misrepresent information concerning a reported property issue.

Participants must not pressure another person to provide false information, conceal relevant facts, or interfere with reasonable preservation of information concerning a property issue.

Preservation of information under this Section does not authorize a Participant to obtain, access, copy, or retain information the Participant is otherwise prohibited from accessing.

8. RETURN OF PROPERTY

When lost, misplaced, or unintentionally retained property is located, Participants should make reasonable efforts to coordinate its return to the person reasonably believed to be entitled to receive it.

The method and timing of return may depend on the nature and value of the item, its location, Participant availability, safety considerations, verification needs, and other applicable circumstances.

Vleyr may facilitate communication or coordination concerning the return of an item but does not guarantee that a lost or missing item will be located, recovered, transported, delivered, or returned.

Vleyr does not ordinarily take physical custody of lost or found property unless Vleyr expressly agrees to do so.

Participants must not deliver, mail, ship, or leave property at a Vleyr office or with a Vleyr employee, contractor, or representative unless specifically instructed to do so.

Vleyr may request reasonable identifying information or other verification before facilitating the return of an item.

When ownership or the right to possession is materially disputed or cannot reasonably be verified, Vleyr may decline to direct the transfer of the item and may refer the Participants to appropriate legal, law-enforcement, insurance, or other processes when appropriate.

9. DISPUTED OR UNVERIFIED CLAIMS

Where Participants provide conflicting accounts concerning an item, or where the circumstances of a reported loss, damage, discovery, or possession cannot readily be verified, Vleyr may review reasonably available information, including:

  • ● Request and acceptance records;
  • ● Applicable service information;
  • ● Participant communications;
  • ● Photographs or videos;
  • ● Vehicle or property condition information;
  • ● Service records;
  • ● Incident reports;
  • ● Statements provided by Participants;
  • ● Relevant access, timing, or location information available through the Platform; and
  • ● Other relevant Platform records or information.

Vleyr may request additional reasonably available information from affected Participants and may document competing accounts while a matter is reviewed.

Vleyr may take reasonable interim measures when appropriate to protect Participants, property, Platform integrity, or relevant information.

Vleyr does not guarantee that the available information will permit a definitive determination concerning when, where, how, or by whom an item was lost, damaged, moved, removed, or retained.

Vleyr is not required to adjudicate legal ownership of disputed personal property.

10. VLEYR’S ROLE

Vleyr may assist Participants with communication, documentation, coordination, review, and reasonable return arrangements concerning lost, missing, damaged, discovered, or unintentionally retained property.

Vleyr does not automatically assume custody, possession, ownership, control, or responsibility for personal property merely because the property was involved in a Pilot service, located in a vehicle or service location, reported through the Platform, or discussed with Vleyr.

Vleyr does not provide general storage, inventory, safekeeping, transportation, delivery, or property-recovery services unless expressly stated otherwise.

Vleyr may review reasonably available information and take appropriate operational action when a property concern involves safety, security, unauthorized access, suspected theft, fraud, Platform misuse, or another material issue.

Nothing in this Procedure prevents Vleyr from taking responsibility or providing an appropriate remedy when the available facts establish that Vleyr caused or contributed to a loss, damage, or other property issue, subject to applicable agreements and law.

11. PROPERTY REQUIRING SPECIAL HANDLING

Participants should not unnecessarily handle, open, move, transport, retain, or dispose of property that reasonably appears to present a safety, health, legal, security, or privacy concern.

Property requiring special caution may include suspected weapons, illegal substances, hazardous materials, unidentified substances, medical sharps, sensitive identification documents, financial information, access credentials, or other items that could create a material safety, legal, security, or privacy concern.

Participants should not open bags, packages, containers, compartments, or other property merely to determine ownership when doing so is unnecessary or could create a safety, privacy, or legal concern.

If an item presents an immediate safety or emergency concern, Participants should avoid unnecessary handling, move to a safe location when appropriate, and contact emergency services or appropriate authorities when reasonably necessary.

Vleyr should be notified as soon as reasonably practicable after immediate safety or emergency concerns have been addressed.

Nothing in this Section requires a Participant to possess, transport, secure, or dispose of an item when doing so would be unlawful or would create a material safety risk.

12. PROHIBITED CONDUCT

Participants must not:

  • ● Steal, intentionally misappropriate, conceal, improperly retain, or unlawfully dispose of another person's property;
  • ● Use, consume, sell, transfer, or intentionally damage another person's property without authorization;
  • ● Improperly use, retain, copy, duplicate, or disclose keys, access credentials, or similar access items;
  • ● Knowingly provide false or materially misleading information concerning a property issue;
  • ● Fabricate, alter, conceal, destroy, or manipulate relevant evidence or records;
  • ● Access, search, open, or inspect another person's personal property without authorization or a legitimate service-related basis; or
  • ● Interfere with a legitimate Vleyr property or incident review.

Participants must also comply with the Vleyr Prohibited Conduct & Activities Policy concerning theft, property misuse, unauthorized access, fraud, misrepresentation, personal information, and interference with reporting or investigations.

13. NO AUTOMATIC FINDING OF RESPONSIBILITY

A report, allegation, missing-item claim, damage claim, disputed-possession claim, or temporary Platform action does not, by itself, establish that a Participant violated a Vleyr requirement or is responsible for the reported property issue.

Responsibility may depend on the circumstances, reasonably available information, applicable agreements, and applicable law.

Uncertainty concerning when or where an item was lost, conflicting Participant accounts, incomplete records, pre-existing conditions, or other evidentiary limitations may prevent a definitive determination.

Vleyr may document available information and competing accounts without making a definitive determination of legal fault or liability.

14. INCIDENT ESCALATION

A lost, missing, damaged, discovered, or unintentionally retained item may constitute a material incident when the circumstances involve:

  • ● Suspected theft or intentional misappropriation;
  • ● Unauthorized access;
  • ● A lost or compromised key or access credential;
  • ● Significant property loss or damage;
  • ● Fraud or material misrepresentation;
  • ● Sensitive personal, financial, identity, medical, or security information;
  • ● Law-enforcement involvement;
  • ● A safety or security concern;
  • ● Repeated or suspicious property-related conduct; or
  • ● Another circumstance requiring additional review or operational action.

When appropriate, the matter may be handled under the Vleyr Pilot Incident Reporting & Escalation Procedure in addition to this Procedure.

Escalation of a matter for additional review does not, by itself, establish fault, wrongdoing, or legal responsibility.

15. RELATIONSHIP TO OTHER VLEYR DOCUMENTS

This Procedure supplements the Vleyr Terms of Service, Privacy Policy, applicable Pilot agreements, Vehicle Monitoring Rules, Safety Guidelines, Prohibited Conduct & Activities Policy, Pilot Incident Reporting & Escalation Procedure, service-specific requirements, and other applicable Platform policies and agreements.

More specific requirements concerning property, access, safety, reporting, incidents, Participant responsibilities, or a particular service may apply to specific circumstances.

This Procedure does not expand the scope of any service, create authority to access or handle property that would otherwise be unauthorized, or override a more specific applicable requirement.

16. UPDATES

Vleyr may update this Procedure as the Pilot develops, services or Platform functionality change, or safety, security, legal, insurance, privacy, or operational requirements evolve.

Material changes affecting Participant responsibilities may be communicated through the Platform or other reasonable means and may require renewed acknowledgment where appropriate.

Updated requirements will apply in accordance with applicable Vleyr agreements, Platform processes, and law.
