VLEYR TECHNOLOGIES, INC.

Prohibited Conduct & Activities Policy

Effective Date:

1. PURPOSE

This Policy identifies conduct and activities that are strictly prohibited in connection with the Vleyr Platform, the Vleyr Pilot, and any service requested, accepted, coordinated, or performed through the Platform.

All Participants are required to comply with this Policy. Prohibited conduct may result in immediate service cancellation, restriction of Platform functionality, suspension or termination of participation, investigation, referral to appropriate third parties or authorities where appropriate, or other action permitted under applicable Vleyr agreements and law.

Nothing in this Policy authorizes conduct that is otherwise prohibited by applicable law, an applicable agreement, service-specific requirement, or other Vleyr policy.

2. ILLEGAL CONDUCT

Participants must not use the Platform, a service request, another Participant, a vehicle, property, access credential, or information obtained through Vleyr to commit, facilitate, solicit, encourage, conceal, or assist unlawful activity.

A Participant must not knowingly request, accept, perform, assist with, or continue a service when the Participant knows that the requested activity is unlawful.

No Customer instruction, Provider acceptance, Platform communication, or other Participant authorization permits conduct that is prohibited by law.

3. VIOLENCE, THREATS, HARASSMENT, INTIMIDATION, AND RETALIATION

Participants must not engage in:

  • ● Physical violence or attempted violence;
  • ● Threats of violence or physical harm;
  • ● Harassment, stalking, intimidation, or coercion;
  • ● Abusive, threatening, or menacing conduct;
  • ● Discriminatory harassment or conduct;
  • ● Sexual harassment or other unwanted sexual conduct;
  • ● Deliberate interference with another Participant's personal safety;
  • ● Retaliation against a person for making a good-faith report, raising a safety concern, cooperating with an investigation, declining unsafe or unlawful activity, or exercising a legal right; or
  • ● Other conduct that creates an unreasonable safety or security concern.

Participants must not pursue, physically confront, restrain, detain, threaten, or attempt to punish another person on Vleyr's behalf.

4. THEFT, PROPERTY MISUSE, AND PROPERTY DAMAGE

Participants must not:

  • ● Steal, take, conceal, retain, or intentionally misappropriate another person's property;
  • ● Remove property without authorization;
  • ● Use, borrow, consume, transfer, or dispose of another person's property for personal or unauthorized purposes;
  • ● Intentionally damage, destroy, deface, alter, disable, or interfere with another person's property;
  • ● Search through another person's personal belongings without authorization or a legitimate service-related reason;
  • ● Misappropriate or misuse keys, key fobs, access cards, access codes, credentials, or other access devices;
  • ● Copy or duplicate keys or access credentials without express authorization; or
  • ● Retain property or access items after the Participant's authority to possess them has ended.

The presence of property in a vehicle or at a service location does not constitute permission to access, use, remove, inspect, or interfere with that property.

5. UNAUTHORIZED VEHICLE OPERATION OR MOVEMENT

During the current vehicle-monitoring Pilot, a Provider must not operate, drive, move, relocate, reposition, transport, or otherwise cause a Customer's vehicle to be moved unless a separate Vleyr service expressly authorizes vehicle movement.

Unless expressly authorized by the applicable service:

  • ● A Provider must not place the vehicle in gear;
  • ● A Provider must not move the vehicle to another parking space or location;
  • ● A Provider must not move the vehicle in response to street cleaning, parking enforcement, traffic conditions, convenience, or a Customer's informal request;
  • ● A Provider must not use the vehicle for transportation, errands, testing, recreation, or any personal purpose; and
  • ● A Provider must not permit another person to operate or move the vehicle.

A Customer must not instruct, pressure, encourage, or authorize a Provider to move a vehicle when movement is outside the scope of the accepted service.

Customer permission alone does not expand the scope of a Vleyr service.

6. UNAUTHORIZED ACCESS

Participants must not intentionally access or attempt to access a vehicle, residence, building, restricted location, account, device, digital system, personal information, private communication, storage compartment, or other property beyond the authority reasonably necessary for the accepted service.

Participants must not:

  • ● Use access information for an unrelated purpose;
  • ● Share access information with an unauthorized person;
  • ● Retain access credentials longer than reasonably necessary;
  • ● Attempt to bypass physical or electronic access controls;
  • ● Access another Participant's account;
  • ● Search a vehicle or personal property without authorization;
  • ● Use information obtained through Vleyr to gain unauthorized access after a service has ended; or
  • ● Allow an unauthorized third party to use access obtained through the Platform.

7. FRAUD, MISREPRESENTATION, AND FALSIFICATION

Participants must not knowingly provide false, fraudulent, materially misleading, or materially incomplete information concerning:

  • ● Identity;
  • ● Account ownership;
  • ● Authority to request or perform a service;
  • ● Eligibility or qualifications;
  • ● Vehicle ownership or authority;
  • ● Vehicle registration;
  • ● Insurance;
  • ● Vehicle or property condition;
  • ● Pre-existing damage;
  • ● Service location or conditions;
  • ● Access instructions;
  • ● Completion or non-completion of a service;
  • ● Arrival, departure, or service times;
  • ● Incidents or damage;
  • ● Payments, refunds, fees, or compensation;
  • ● Photographs, records, messages, or documentation;
  • ● Credentials or verification information; or
  • ● Any other material fact affecting a Vleyr service.

Participants must not fabricate, alter, manipulate, conceal, destroy, or knowingly submit misleading records or evidence.

8. PLATFORM, ACCOUNT, AND SECURITY MISUSE

Participants must not:

  • ● Circumvent or attempt to circumvent Platform safeguards;
  • ● Defeat or interfere with security or verification measures;
  • ● Manipulate service, payment, location, time, acceptance, completion, or incident records;
  • ● Access another Participant's account without authorization;
  • ● Share account credentials in an unauthorized manner;
  • ● Create or use an account through false identity information;
  • ● Obtain or attempt to obtain information the Participant is not authorized to receive;
  • ● Introduce malicious software or intentionally interfere with Platform operation;
  • ● Abuse reporting, support, refund, payment, or dispute processes;
  • ● Use another Participant's information for an unauthorized purpose; or
  • ● Use the Platform for activity unrelated to legitimate Vleyr services in a manner that creates a safety, security, privacy, fraud, or operational risk.

9. UNSAFE CONDUCT AND IMPAIRMENT

Participants must not intentionally or recklessly create unnecessary safety risks.

A Provider must not accept, begin, or continue a service while impaired to a degree that materially interferes with safe performance, including impairment caused by alcohol, illegal drugs, misuse of medication, or another substance.

Participants must not instruct, pressure, encourage, or attempt to require another Participant to perform an activity that is unsafe, unlawful, or materially outside the accepted service.

A Participant may decline or discontinue activity the Participant reasonably believes presents a material safety concern, is unlawful, or materially exceeds the accepted service.

10. UNAUTHORIZED THIRD PARTIES

A Provider must not transfer, delegate, subcontract, or permit another person to perform an accepted service on the Provider's behalf unless expressly authorized through the applicable Vleyr process.

A person who has not been authorized to participate in the applicable service must not be given access to a Customer's vehicle, property, keys, credentials, personal information, or service information.

Participants must not bring or involve unauthorized persons in a service when doing so creates a safety, privacy, security, property, or operational risk.

11. OUT-OF-SCOPE AND UNAUTHORIZED SERVICES

A Customer must not request or instruct, and a Provider must not agree to perform, an activity that materially exceeds the scope of the accepted Vleyr service.

Participants must not use a Pilot request as authorization to perform an unrelated or unauthorized service.

Participants may not privately modify the scope of a service in a manner that bypasses applicable Vleyr safety, eligibility, insurance, verification, payment, or operational requirements.

A material change in the requested service must be handled through the applicable Vleyr process when required.

Agreement between a Customer and Provider does not, by itself, authorize an activity outside the scope of the Vleyr service.

12. MISUSE OF PERSONAL INFORMATION

Participants must not use personal information obtained through Vleyr for harassment, stalking, retaliation, fraud, unauthorized marketing, unauthorized access, or another unrelated or improper purpose.

Participants must not unnecessarily copy, retain, publish, distribute, sell, disclose, or otherwise misuse another Participant's personal information, photographs, communications, access information, service location, or other sensitive information.

Information obtained through a service may be used only as permitted by applicable Vleyr policies, agreements, service requirements, and law.

13. INTERFERENCE WITH REPORTING OR INVESTIGATIONS

Participants must not knowingly interfere with a legitimate Vleyr incident review, safety review, fraud review, property review, or other authorized investigation.

Participants must not knowingly:

  • ● Destroy, fabricate, conceal, or materially alter relevant information;
  • ● Provide materially false information concerning an incident;
  • ● Pressure another person to provide false information;
  • ● Retaliate against a person for making a good-faith report;
  • ● Attempt to improperly influence another Participant's account of an incident; or
  • ● Impede reasonable preservation of relevant Platform or service information.

14. REPORTING VIOLATIONS

Participants should promptly report suspected material violations of this Policy, safety incidents, unauthorized vehicle activity, suspected theft, fraud, unauthorized access, threats, violence, or other serious misconduct through the applicable Vleyr reporting process.

Immediate emergencies should be reported to appropriate emergency services or law enforcement before contacting Vleyr when necessary to protect safety.

15. VLEYR RESPONSE AND ENFORCEMENT

Vleyr may review suspected violations and take action permitted by applicable agreements and law based on the nature and circumstances of the conduct.

Depending on the circumstances, Vleyr may:

  • ● Request additional information or documentation;
  • ● Pause or cancel a service;
  • ● Restrict Platform functionality;
  • ● Restrict a Participant from particular services;
  • ● Temporarily suspend participation;
  • ● Terminate participation;
  • ● Preserve relevant records;
  • ● Refer a matter to an insurer, payment processor, professional adviser, law enforcement agency, emergency service, regulatory authority, or other appropriate third party when permitted or required; or
  • ● Take another lawful and reasonable action necessary to address a safety, security, fraud, legal, property, privacy, or material operational concern.

Vleyr may take immediate interim action without completing a full review when Vleyr reasonably determines that such action is necessary to address a material safety, security, legal, fraud, privacy, property, or operational risk.

16. NO AUTOMATIC FINDING OF FAULT

A report, allegation, temporary restriction, service cancellation, suspension, or other interim Platform action does not by itself establish that a Participant violated this Policy or is legally responsible for an alleged event.

Vleyr may review reasonably available information, document competing accounts, and take reasonable interim measures while a matter is under review.

17. NON-EXHAUSTIVE PROHIBITIONS

The conduct identified in this Policy is not exhaustive.

Vleyr may address other conduct that violates applicable law, Vleyr agreements, service-specific requirements, Platform policies, or legitimate safety, security, privacy, fraud-prevention, property, or operational requirements.

The absence of a specific activity from this Policy does not mean that the activity is authorized.

18. RELATIONSHIP TO OTHER VLEYR REQUIREMENTS

This Policy supplements the Vleyr Terms of Service, applicable Pilot agreements, Vehicle Monitoring Rules, Safety Guidelines, service-specific requirements, Request Acceptance Terms, and other applicable Platform policies and agreements.

This Policy does not expand the scope of any service or authorize conduct otherwise prohibited by another applicable requirement.

19. UPDATES

Vleyr may update this Policy as the Pilot develops, services or functionality change, or legal, safety, security, insurance, or operational requirements evolve.

Material changes affecting Participant responsibilities may be communicated through the Platform or other reasonable means and may require renewed acknowledgment where appropriate.
